Purpose

This LOI confirms preliminary interest in participating in KeepWell Health Union, a nonprofit healthcare cooperative providing employer-sponsored primary care with catastrophic coverage via reinsurance.

Intended Participation

Employer intends, subject to final agreement, to enroll approximately ____ employees upon launch of the initial San Francisco clinic.

Anticipated Terms

  • Membership Fee: $500 per member per month (PMPM), paid by Employer.
  • Services: Comprehensive primary care, chronic care management, preventive services, care navigation.
  • Coverage Scope: Primary care delivered directly by KeepWell clinicians; hospitalizations and major procedures covered via third-party reinsurance.
  • Clinic Location: Downtown San Francisco (Financial District or SOMA).

Conditions

Contingent upon clinic opening, regulatory approvals, availability of reinsurance coverage, and execution of final membership agreements.

Term

Expires 90–120 days from execution unless extended by mutual agreement.
